REPORT ON THE AUDIT OF THE UNIVERSITY

A. APA AUDIT AND MANAGEMENT LETTER -- As required by law, the
Auditor of Public Accounts of the Commonwealth audits the University
every year. The results of the audit are discussed with the appropriate
University officials and Walter Kucharski, the Auditor of Public
Accounts, reports the findings of his audit to the Board of Visitors
at the Board's February meeting.

B. MANAGEMENT'S RESPONSE -- In response to the Auditor's findings,
the University and the Medical Center are invited to comment.
Charles Gillet, Assistant Vice President for Finance, will respond
for the University and Peter Munger, Associate Vice President,
will respond for the Medical Center.
