This item requires action by the External Affairs Committee and
the Board of Visitors.

A. CONSOLIDATION OF THE BOAR'S HEAD AND BIRDWOOD BOARDS -- The
boards of Boar's Head Enterprises, Inc. - which was established
in 1989 to operate the Boar's Head Inn, Sports Club and Office
Complex - and the Virginia Auxiliary Services Foundation - which
operates the Birdwood Golf Course - propose a merger. Boar's Head
Enterprises, Inc. thus would assume management of the Birdwood
Golf Course. Benefits of the merger would include economies of
scale from joint operations, the addition of golf to the Boar's
Head's resort package and increased business for the Golf Course.

REPORTS BY THE VICE PRESIDENT FOR DEVELOPMENT

The cash flow figure for November, 1996 was $30,398,979, an increase
of 11% over the same month in 1995. The Vice President will assess
cash flow progress, citing any trends in annual capital and planned
gift support.
The Vice President will also report on the progress of the Capital
Campaign with figures through December 31, 1996. He will assess
progress by gift size, unit effectiveness, and featured Campaign
objectives, and his report will focus on regional campaigns,
the faculty and staff campaign and restructuring the Lawn Society.
